PadosXO Terms & Conditions

1. Acceptance of the Terms

These Terms & Conditions (the "Terms") constitute a legally binding agreement between you and Neargrid Technologies Pvt. Ltd. (PadosXO Parent company) ("Neargrid", "we", "us" or "our"). By accessing or using the PadosXO mobile application, website or any related services (collectively, the "Service"), you acknowledge that you have read, understood and agree to be bound by these Terms, the Privacy Policy and the Community Guidelines. If you do not agree to these Terms, you may not use the Service.

2. Eligibility and Account Responsibility

• Age requirement. The Service is intended for use by individuals who are at least 18 years old. Under Indian law, a person attains majority at 18 years; minors are incompetent to contract, and any contract with a minor is void ab initio. By registering an account, you represent that you meet this age requirement. If you are between 13 and 17 years old, you may use the Service only with the verified consent and active supervision of a parent or legal guardian, who accepts full responsibility for your use of the Service.
• Account information. You must provide accurate and complete information when creating an account and keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Account security. Notify us immediately if you suspect unauthorised access to your account. We may suspend or terminate your account to protect you, PadosXO and other users.

3. User Obligations

By using PadosXO, you agree to:

• Comply with these Terms, the Community Guidelines and all applicable laws and regulations.
• Provide accurate, non-misleading information in your profile, reviews, pins and other contributions.
• Respect the privacy and intellectual property rights of others. Do not post personal information about other people without their consent or content that you do not have the right to share.
• Do not upload or share content that is fraudulent, defamatory, obscene, harassing, hateful or otherwise unlawful. Do not post fake engagement or incentivised reviews.
• Do not use the Service for any commercial purpose without our prior written consent, except through authorised business listing features.
• Not interfere with the operation of the Service, introduce malware, scrape data, circumvent security measures or attempt to gain unauthorised access to the Service or its systems.

4. User-Generated Content

• Your rights. You retain ownership of the content, including reviews, pins, photos, comments and other materials you post or upload to PadosXO, referred to as User Content. However, by posting User Content, you grant PadosXO a non-exclusive, worldwide, royalty-free, sublicensable and transferable licence to use, host, store, reproduce, modify for formatting purposes, create derivative works such as translations or adaptations, publish, publicly display and distribute your User Content for the purpose of operating and improving the Service. This licence continues even if you stop using the Service for the period during which your content remains on our platform.
• Your responsibility. You are responsible for your User Content and represent that you have all necessary rights to post it and that it does not violate the rights of any person. PadosXO does not endorse any User Content and disclaims any liability arising from it. You understand that once you publish content, it may be accessed and used by others.
• Moderation. PadosXO may, but is not obligated to, review, monitor or edit User Content. We may remove or refuse to display User Content at our sole discretion for any reason, including violation of these Terms, our Community Guidelines or applicable law. We may also retain removed content and related records as required by law or court order.

5. Business Listings and Disclaimers

• Business information. PadosXO provides a platform for businesses to list and promote their services. Business information, such as addresses, contact details, hours of operation, menus, prices and special offers, is supplied by businesses or generated from user contributions. While we strive to keep information accurate and up to date, PadosXO does not warrant the completeness, accuracy or reliability of any business information or User Content. Always verify information directly with the business before relying on it.
• No endorsement. Inclusion of a business on PadosXO does not constitute an endorsement or recommendation. Interactions or transactions with businesses listed on PadosXO are solely between you and the business. PadosXO is not a party to, and disclaims liability for, any communications, transactions, disputes, or obligations between users and businesses.
• Third-party services. The Service may contain links to third-party websites or services. We provide these links for convenience, but PadosXO does not control or endorse these websites. Your use of third-party services is at your own risk and subject to the terms and privacy policies of those services.

6. Intellectual Property Rights

• PadosXO's rights. All rights, title and interest in and to the Service, including the PadosXO name and logo, software, design, text, graphics, user interface, trademarks, service marks and all other content created by or for PadosXO, collectively the PadosXO Content, are the exclusive property of PadosXO or our licensors. PadosXO Content is protected by copyright, trademark and other intellectual property laws. Except for the limited licence granted herein, nothing in these Terms transfers any right or licence to you.
• Limited licence. PadosXO grants you a personal, non-transferable, non-exclusive and revocable licence to access and use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works of the Service or the PadosXO Content without our written permission.

7. Platform Limitations and Safe Harbour

• Service availability. PadosXO endeavours to keep the Service available, error-free and secure, but cannot guarantee continuous or uninterrupted access. The Service may be unavailable during maintenance, updates or for reasons beyond our control.
• Third-party content and liability. PadosXO acts as an online intermediary by storing and transmitting user-generated content. Under Section 79 of the Information Technology Act, 2000, intermediaries are exempt from liability for third-party information if they have no knowledge of its illegality and observe due diligence. Intermediaries must comply with due diligence requirements, including specifying prohibited content, taking down content upon court or government orders, assisting law enforcement and providing a grievance redressal mechanism. PadosXO complies with these obligations. We are not liable for user-generated content, but we will remove illegal content upon proper notification.
• No warranties. The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, PadosXO disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure or error-free, or that any content will be accurate or reliable.
• Limitation of liability. To the extent permitted by law, PadosXO shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, goodwill, data or other intangible losses, arising out of or in connection with your use of the Service or these Terms. PadosXO's total liability for all claims under these Terms shall not exceed the amount you have paid us, if any, in the 12 months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless PadosXO, its directors, officers, employees, agents and affiliates from and against any claims, damages, obligations, losses, liabilities, costs or debt and expenses, including legal fees, arising from:

This indemnity obligation will survive termination of your account and your use of the Service.

• Your use of and access to the Service.
• Your violation of any term of these Terms, the Privacy Policy or the Community Guidelines.
• Your violation of any third-party right, including any intellectual property right or privacy right.
• Any claim that your User Content caused damage to a third party.

9. Suspension and Termination

• Our rights. PadosXO may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, violate the Community Guidelines, infringe our intellectual property rights, act fraudulently or illegally, or if we reasonably believe your actions may cause legal liability or harm to PadosXO or our users. In appropriate circumstances, we may also close accounts of repeat infringers or persistent violators of our policies.
• Effect of termination. Upon termination, your right to access the Service will immediately cease. We may delete or disable access to your User Content, but we may retain data as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will survive, including ownership provisions, indemnity, warranty disclaimer and limitation of liability.
• Account deletion by you. You may delete your account through the app settings or by contacting us. Deleting your account ends your licence to use the Service but does not automatically remove your User Content. You may request deletion of your content subject to our legal obligations and data retention policies.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. You agree that any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Firozabad, Uttar Pradesh, India. We encourage you to contact us at legal@padosxo.com to try to resolve any disputes informally before approaching the courts. Notwithstanding the foregoing, PadosXO may seek injunctive or other equitable relief in any jurisdiction to prevent or restrain the infringement or misappropriation of its intellectual property rights.

11. Updates to the Terms

PadosXO may modify these Terms from time to time. We will provide notice of material changes by email, in-app notification or through our website. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
